Please read these terms carefully before using Track Wise. By accessing or using our service, you agree to be bound by these terms.

1. Acceptance of Terms

Welcome to Track Wise. These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Track Wise ("we", "us", "our") regarding your use of the Track Wise personal finance management platform (the "Service").

By accessing or using Track Wise, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you must not access or use the Service.

Age Requirement: You must be at least 18 years of age to use Track Wise. By using the Service, you represent and warrant that you are at least 18 years old. Users between 13 and 18 must obtain parental or guardian consent before using the Service.

These Terms should be read in conjunction with our Privacy Policy, which explains how we collect, use, and protect your personal information.

2. Description of Service

Track Wise is a personal finance management platform that enables users to:

Track income and expenses across multiple accounts
Categorize and organize financial transactions

Access AI-powered financial insights (coming soon)

Important Disclaimer:

Track Wise is a personal finance tracking tool, not a financial advisor or investment service. We do NOT provide financial advice, investment recommendations, tax guidance, or accounting services. All financial decisions remain your sole responsibility. You should consult with qualified financial, tax, or legal professionals before making significant financial decisions.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you.

3. User Accounts

3.1 Account Creation

To use Track Wise, you must create an account by providing accurate, complete, and current information. You may register using:

Email address and password
Google OAuth (single sign-on)

You agree to provide truthful information and update it as necessary to maintain accuracy.

3.2 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access or security breach
Using a strong, unique password
Logging out of your account when using shared or public devices

Track Wise is not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

You may terminate your account at any time through your account settings. Upon termination:

Your access to the Service will cease immediately
Your data will be deleted within 30 days (unless legal retention is required)
We may retain certain data for legal, accounting, or security purposes

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or misuse the Service.

4. Acceptable Use Policy

You agree to use Track Wise only for lawful purposes and in accordance with these Terms. You agree NOT to:

Violate Laws: Use the Service for illegal activities, fraud, money laundering, or any unlawful purpose.
Infringe Rights: Violate intellectual property, privacy, or other rights of Track Wise or third parties.
Abuse the Service: Attempt to access unauthorized areas, reverse engineer, decompile, or hack the platform.
Distribute Malware: Upload viruses, malware, or any harmful code.
Spam or Phish: Use the Service to send unsolicited messages, spam, or phishing attempts.
Impersonate Others: Misrepresent your identity or affiliation with any person or entity.
Interfere with Service: Disrupt servers, networks, or other users' access to Track Wise.
Data Mining: Use automated systems (bots, scrapers) to extract data without permission.
Share Accounts: Share your account credentials or allow unauthorized access.
Resell the Service: Resell, sublicense, or commercially exploit Track Wise without authorization.

Violation of this Acceptable Use Policy may result in immediate account suspension or termination, and we may report illegal activities to law enforcement.

5. Intellectual Property Rights

5.1 Track Wise Intellectual Property

All content, features, and functionality of Track Wise, including but not limited to:

Software code, algorithms, and architecture
Design, graphics, user interface, and visual elements
Logos, trademarks, and branding
Text, documentation, and content
AI models and machine learning algorithms (when applicable)

...are owned by Track Wise and protected by copyright, trademark, patent, trade secret, and other intellectual property laws. All rights are reserved.

5.2 Limited License

Subject to your compliance with these Terms, Track Wise grants you a limited, non-exclusive, non-transferable, revocable license to:

Access and use the Service for your personal, non-commercial purposes
Download and use our mobile application (when available) on your devices

This license does not grant you any rights to reproduce, distribute, modify, create derivative works, or publicly display any part of Track Wise without our prior written consent.

5.3 Feedback

If you provide feedback, suggestions, or ideas about Track Wise, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

6. User Data & Content

6.1 Your Data

You retain all ownership rights to the financial data and content you submit to Track Wise ("Your Data"). This includes:

Transaction records
Budget information
Financial goals
Account details
Notes and attachments

6.2 License to Process Your Data

By using Track Wise, you grant us a limited license to process Your Data for the purpose of:

Providing the Service (storing, displaying, analyzing your financial data)
Generating insights, analytics, and visualizations
Improving our AI and machine learning algorithms (anonymized)
Troubleshooting and providing customer support

This license is limited to the purposes necessary to operate Track Wise and does not grant us ownership of Your Data. We will not sell or share Your Data except as described in our Privacy Policy.

6.3 Data Accuracy

You are solely responsible for the accuracy, completeness, and legality of Your Data. Track Wise is not responsible for errors, omissions, or inaccuracies in the financial data you input.

6.4 Data Deletion

Upon account termination or at your request, we will delete Your Data within 30 days, except where retention is required by law or for legitimate business purposes (e.g., fraud prevention, dispute resolution).

7. Payment Terms

7.1 Free and Premium Tiers

Track Wise offers both free and premium subscription plans:

Free Tier: Access to core features including basic transaction tracking, budgeting, and analytics.
Premium Tier: Access to advanced features including AI insights, unlimited accounts, bank integration (when available), and priority support.

Feature availability and pricing are subject to change. We will notify you of any changes that affect your subscription.

7.2 Billing and Payments

If you subscribe to a premium plan:

You will be billed in advance on a recurring basis (monthly or annually)
Payments are processed securely through third-party payment processors
You authorize us to charge your payment method for all fees incurred
All fees are non-refundable except as required by law

7.3 Subscription Renewal and Cancellation

Premium subscriptions automatically renew at the end of each billing period unless you cancel. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period, and you will retain access until then. No partial refunds are provided for unused time.

7.4 Price Changes

We may change subscription prices at any time. If we increase the price of your subscription, we will notify you at least 30 days in advance. The new price will apply to your next billing cycle unless you cancel before the change takes effect.

7.5 Taxes

All fees are exclusive of applicable taxes, duties, and levies imposed by taxing authorities. You are responsible for payment of all such taxes.

8. Service Availability

We strive to provide reliable and continuous access to Track Wise, but we cannot guarantee uninterrupted or error-free service.

Uptime: We aim for high availability but do not guarantee 100% uptime.
Maintenance: We may perform scheduled or emergency maintenance, which may temporarily disrupt service.
Downtime: The Service may be unavailable due to technical issues, network problems, or events beyond our control.
No Service Level Agreement (SLA): Unless you have a separate written agreement, we do not provide an SLA or uptime guarantees.

We are not liable for any loss, damage, or inconvenience resulting from service interruptions, downtime, or unavailability.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Track Wise and its officers, directors, employees, and agents SHALL NOT BE LIABLE for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
Our total liability to you for any claims arising out of or related to these Terms or the Service SHALL NOT EXCEED the amount you paid to Track Wise in the 12 months preceding the claim, or $100 USD if you have not paid us any fees.
We are NOT LIABLE for:
- Financial losses resulting from decisions based on data in Track Wise
- Errors, inaccuracies, or omissions in your financial data
- Unauthorized access to your account due to your failure to secure credentials
- Service interruptions, downtime, or data loss
- Third-party services or integrations

Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Track Wise disclaims all warranties, including but not limited to:

No Warranty of Accuracy: We do not guarantee the accuracy, completeness, or reliability of any financial data, insights, or analytics.
Not Financial Advice: Track Wise does not provide financial, investment, tax, or legal advice. All insights and recommendations are informational only and should not be considered professional advice.
No Warranty of Merchantability: We do not warrant that the Service will meet your specific requirements or be suitable for your purposes.
No Warranty of Uninterrupted Service: We do not guarantee that the Service will be available at all times, error-free, or free from viruses or harmful components.
Third-Party Integrations: We are not responsible for the performance, accuracy, or availability of third-party services (e.g., OAuth providers, payment processors).

Important Financial Disclaimer:

You acknowledge that Track Wise is a personal tracking tool, not a substitute for professional financial advice. You are solely responsible for all financial decisions made based on data in Track Wise. We strongly recommend consulting with licensed financial advisors, tax professionals, or attorneys before making significant financial decisions.

11. Indemnification

You agree to indemnify, defend, and hold harmless Track Wise and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

Your use or misuse of the Service
Your violation of these Terms
Your violation of any third-party rights, including intellectual property or privacy rights
Your breach of applicable laws or regulations
Your Data or content submitted to Track Wise
Any financial decisions made based on Track Wise data

This indemnification obligation will survive termination of these Terms and your use of the Service.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the State of [Your State], without regard to its conflict of law principles.

12.2 Informal Resolution

Before initiating formal dispute resolution, you agree to contact us at legal@track-wise.app to seek an informal resolution. We commit to working with you in good faith to resolve any disputes.

12.3 Arbitration

If we cannot resolve a dispute informally within 60 days, you agree that any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.

Arbitration will be conducted on an individual basis, not as a class action

12.4 Class Action Waiver

YOU AND TRACK WISE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

You waive your right to participate in a class action lawsuit or class-wide arbitration.

12.5 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent infringement of intellectual property rights or confidential information.

13. Changes to These Terms

We reserve the right to modify or update these Terms at any time. When we make significant changes, we will:

Update the "Last Updated" date at the top of this page
Notify you via email (if you have an account)
Display a prominent notice on the Track Wise platform
Provide at least 30 days' notice for material changes affecting your rights

Your continued use of Track Wise after changes are posted constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and terminate your account.
